1. Acceptance of these terms

By registering at /register/ and using the Novapura member-only research catalogue, you agree to these Terms of Sale, the Prohibited-Use Policy, the Research Use Policy, the Privacy Policy, and the Return Policy, each incorporated here by reference.

2. Member-only eligibility

Access to the Novapura catalogue, pricing, and basket is restricted to individuals who have:

1. Created an account through the member registration page with accurate identity and organization information; and
2. Completed the required research-use attestations and remain in active, non-suspended status.

Novapura may suspend or revoke an active member's access at any time, for any reason including a reasonable belief that the eligibility or research-use conditions in these terms are not being met. Suspension or revocation does not affect a member's rights or obligations regarding orders already placed.

3. Research-use-only restriction

All materials offered through Novapura are sold strictly for qualified research, laboratory, and analytical use by appropriately qualified purchasers. By placing an order, you represent and warrant that:

• You are purchasing solely for legitimate research or analytical purposes;
• You will not use, and will not permit any third party to use, any material for human consumption, human application, veterinary use, or diagnostic use in a living organism; and
• You are legally permitted to purchase, possess, and use the material in your jurisdiction.

4. Order acceptance and fulfilment review

Placing an order is an offer to purchase, not an acceptance by Novapura. Every order is subject to manual fulfilment review before it is accepted, prepared, or shipped. Novapura may decline, delay, or cancel any order — with a full refund of amounts paid for the declined portion — including where:

• The eligibility or research-use representations in Section 3 appear inaccurate or cannot be verified;
• The order is inconsistent with the quantity, jurisdiction, or other limits described in the Shipping Policy; or
• Novapura reasonably suspects fraud, resale, or a prohibited use.

All orders are subject to manual review before fulfilment.

5. Pricing and payment

Prices are shown only to active, authorized members and only in the currency and format displayed at the time of viewing. Prices are displayed in USD and are tax-exclusive. Payment is processed by cryptocurrency (NOWPayments) at the time of order submission. Venmo, Cash App, Apple Pay, and WhatsApp orders are placed first and held until payment is confirmed manually. Novapura does not receive or store your full payment card details.

6. No resale

Materials purchased through Novapura may not be resold, redistributed, or repackaged for sale to any third party without Novapura's prior written consent. See the Prohibited-Use Policy.

7. Taxes

Novapura does not collect sales/use tax. Prices are tax-exclusive.

8. Shipping

Shipping terms, available destinations, and delivery timelines are described in the Shipping Policy, which is incorporated by reference. Novapura does not ship to jurisdictions where the sale, import, or possession of the ordered material is unlawful, and reserves the right to refuse or cancel an order for that reason.

9. Limitation of liability

To the maximum extent permitted by applicable law: Novapura provides all materials strictly for research use and makes no warranty of merchantability, fitness for a particular purpose, or non-infringement beyond what is required by law. Novapura's total liability for any claim arising from a purchase is limited to the amount paid for the relevant order. Novapura is not liable for any use of purchased material that violates Section 3, the Prohibited-Use Policy, or applicable law.

10. Governing law and dispute resolution

These terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law principles.

11. Changes to these terms

Novapura may update these Terms of Sale from time to time. The version in effect at the time an order is placed governs that order. Novapura will notify active members of material changes by email to the address registered to the member's account.

12. Severability

If any provision of these terms is held unenforceable, the remaining provisions remain in full force and effect.
